These Terms of Service govern your access to and use of the website, services, products, communications, and business support solutions provided by Zayup.

Introduction

These Terms of Service (“Terms”) govern your access to and use of the website, services, products, communications, and business support solutions provided by Zayup (“Zayup,” “we,” “our,” or “us”).

By using our website, contacting us, requesting services, signing a proposal, paying an invoice, or using any Zayup service, you agree to these Terms.

If you do not agree to these Terms, you should not use our website or services.

1. About Zayup

Zayup provides business support services, which may include:

  • Human receptionist services
  • Call answering
  • Lead intake and qualification
  • Appointment support
  • Customer communication support
  • Virtual assistant services
  • Web development
  • Software development
  • AI automation
  • CRM setup and support
  • Digital marketing
  • Social media support
  • Paid advertising support
  • Email marketing
  • Business process support
  • Related consulting and operational services

Specific services, pricing, deliverables, timelines, and responsibilities may be described in a separate proposal, invoice, statement of work, or service agreement.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use our services.

If you use our services on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Service Agreements and Scope

The exact scope of work will be based on the proposal, package, invoice, written agreement, or service plan accepted by the client.

Services may include monthly plans, one-time projects, setup work, add-ons, consulting, development work, marketing support, or ongoing operational support.

Any service not clearly included in the agreed scope may require additional fees.

Zayup may refuse or pause work that is outside the agreed scope until additional terms or payment are approved.

4. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information needed for Zayup to perform services.

  • Business details
  • Brand materials
  • Login access
  • Calendar or CRM access
  • Call handling instructions
  • Customer support scripts
  • Service area details
  • Pricing or appointment rules
  • Approval of content, workflows, or campaigns
  • Legal notices or consent requirements
  • Timely feedback and approvals

Zayup is not responsible for delays, errors, or incomplete work caused by missing, inaccurate, or delayed client information.

5. Call Answering and Receptionist Services

If Zayup provides call answering, receptionist, virtual assistant, lead handling, or customer communication services, clients understand and agree that:

  • Zayup will follow the instructions, scripts, and workflows provided or approved by the client.
  • Zayup does not guarantee that every call will result in a sale, appointment, or conversion.
  • Call handling quality depends on accurate scripts, clear escalation rules, correct contact details, and client cooperation.
  • Clients are responsible for reviewing call summaries, responding to urgent matters, and following up when required.
  • Clients are responsible for ensuring their business information, services, pricing, availability, and instructions remain accurate.

6. Fair Use and Service Limits

If a plan includes business-hours coverage, receptionist support, or similar ongoing services, the plan may be subject to fair-use limits, staffing availability, reasonable volume expectations, and quality-control requirements.

“No per-minute billing” does not mean unlimited staffing, unlimited call volume, unlimited scope, or unlimited work.

If call volume, workload, complexity, or service demands exceed the selected plan, Zayup may recommend an upgrade, add-on, revised scope, or custom pricing.

Zayup may pause, limit, or adjust service if usage is excessive, abusive, outside scope, or harmful to service quality.

7. Call Recording, Monitoring, and Consent

Calls may be recorded, monitored, transcribed, or summarized for service delivery, quality assurance, training, reporting, documentation, and dispute resolution.

Clients are responsible for complying with all applicable call recording, monitoring, privacy, telemarketing, consumer protection, and consent laws.

Clients are responsible for providing any required notices and obtaining any legally required consent from callers, customers, employees, or other parties.

Zayup does not provide legal advice regarding call recording consent, telemarketing compliance, or industry-specific regulations.

8. Marketing, Outreach, and Compliance

If Zayup provides marketing, lead generation, SMS, email, cold outreach, advertising, or campaign support, the client is responsible for ensuring that its campaigns, lead lists, offers, claims, and contact permissions comply with applicable laws.

Clients must not provide Zayup with illegally obtained lead lists or instruct Zayup to send misleading, unlawful, or non-compliant communications.

Zayup may refuse, suspend, or terminate any campaign that appears misleading, unlawful, abusive, or reputationally harmful.

9. SMS/Text Messaging Terms

ZAYUP LLC may offer SMS/text messaging programs for customers, prospects, website visitors, and clients who choose to receive messages from us.

By checking an SMS consent box, submitting a form, providing your mobile number, or otherwise opting in, you agree to receive text messages from ZAYUP LLC at the mobile number provided.

Our SMS programs may include:

  • Non-Marketing Messages: Appointment confirmations, appointment reminders, scheduling updates, service notifications, customer support messages, follow-up messages, and other transactional or informational communications related to your inquiry or services.
  • Marketing and Promotional Messages: If you separately opt in to marketing messages, you may receive promotional texts, special offers, discounts, new product or service updates, and other marketing communications from ZAYUP LLC.

Consent to receive SMS messages is not a condition of purchasing any goods or services.

Message frequency may vary. Message and data rates may apply. Check with your mobile carrier for details.

To stop receiving SMS messages, reply STOP to any text message from ZAYUP LLC. After you reply STOP, you may receive a confirmation message, and we will make reasonable efforts to remove you from further SMS messaging.

Carriers are not liable for delayed or undelivered messages.

SMS messaging may not be available on all carriers or devices. Delivery of SMS messages depends on your mobile carrier, network availability, device settings, and other factors outside our control.

You must be 18 years of age or older to opt in to receive SMS messages from ZAYUP LLC.

Your use of SMS messaging is also governed by our Privacy Policy, available at: https://www.zayup.com/privacy-policy.

10. AI, Automation, and Third-Party Tools

Some Zayup services may involve AI tools, automation platforms, CRM systems, call platforms, advertising platforms, analytics tools, web hosting platforms, or other third-party services.

Clients understand that third-party tools may have their own terms, privacy policies, fees, limitations, outages, and data practices.

Zayup is not responsible for failures, downtime, policy changes, account suspensions, pricing changes, or errors caused by third-party platforms.

AI-generated content, automation outputs, call summaries, transcriptions, and system suggestions may contain errors and should be reviewed when accuracy is important.

11. Website, Software, and Creative Services

For website, software, design, content, branding, or creative projects:

  • Timelines depend on client feedback, approvals, content delivery, and technical complexity.
  • Revisions may be limited based on the agreed scope.
  • Additional pages, features, integrations, custom development, copywriting, graphics, or revisions may require additional fees.
  • Zayup is not responsible for delays caused by third-party platforms, hosting providers, domain providers, plugins, payment gateways, or client-side issues.
  • Client is responsible for reviewing and approving final work before launch or publication.

12. Payments and Billing

Clients agree to pay all fees according to the agreed proposal, invoice, subscription, or service agreement.

Unless otherwise stated:

  • Monthly services are billed in advance.
  • Setup fees are due before setup begins.
  • Project fees may require an upfront deposit.
  • Late payments may result in paused services.
  • Unpaid invoices may result in suspension or termination.
  • Setup fees, completed work, and used service periods are generally non-refundable.
  • Zayup may change pricing for future service periods with reasonable notice.

13. Cancellations and Termination

Cancellation terms may be described in the client’s proposal, invoice, or service agreement.

Unless otherwise stated, clients should provide at least 30 days’ written notice before canceling monthly services.

Zayup may suspend or terminate services if:

  • Payment is not made on time
  • Client violates these Terms
  • Client requests unlawful or unethical work
  • Client provides false or misleading information
  • Client abuses team members or systems
  • Service use exceeds reasonable or agreed limits
  • Continued service creates legal, financial, operational, or reputational risk

Termination does not remove the client’s obligation to pay amounts owed for services already provided or committed.

14. Refunds

Refunds are not guaranteed.

Setup fees, onboarding work, completed work, strategy work, consulting, custom development, design work, campaign setup, and used monthly service periods are generally non-refundable.

If Zayup approves a refund, the refund will be at Zayup’s discretion and may be reduced by completed work, third-party costs, processing fees, or time already spent.

15. Client Content and Materials

Clients are responsible for any content, logos, images, videos, claims, offers, testimonials, customer data, lead lists, and materials they provide to Zayup.

Clients represent that they have the right to use and provide such materials.

Clients agree not to provide content that violates copyright, trademark, privacy rights, publicity rights, advertising laws, or any other rights of third parties.

16. Intellectual Property

Zayup retains ownership of its internal methods, templates, systems, processes, know-how, scripts, frameworks, training materials, strategy documents, workflows, and pre-existing intellectual property.

Upon full payment, clients may receive rights to final deliverables created specifically for them, subject to any third-party licenses, platform terms, stock assets, software limitations, or separate agreements.

Zayup may use general knowledge, ideas, processes, and skills learned during client work for future projects, provided we do not disclose confidential client information.

17. Confidentiality

Both parties may receive confidential business information from each other.

Each party agrees to take reasonable steps to protect confidential information and not disclose it except as needed to perform services, comply with law, work with approved vendors, or enforce agreements.

Confidential information does not include information that is publicly available, independently developed, already known, or lawfully received from another source.

18. Privacy

Use of Zayup’s website and services is also governed by our Privacy Policy.

By using our website or services, you agree that information may be collected, used, processed, and shared as described in the Privacy Policy.

19. No Guaranteed Results

Zayup aims to provide professional services and practical business support. However, we do not guarantee specific business results, revenue increases, lead volume, appointment volume, rankings, ad performance, conversion rates, customer satisfaction, or sales outcomes.

Results may depend on market conditions, client responsiveness, pricing, reputation, competition, customer demand, budget, data quality, offer strength, and other factors outside Zayup’s control.

20. Acceptable Use

Clients may not use Zayup services for:

  • Fraudulent activity
  • Illegal activity
  • Harassment
  • Spam
  • Misleading advertising
  • Unauthorized data collection
  • Infringement of intellectual property
  • Malicious software
  • Deceptive sales practices
  • Hate, abuse, or discrimination
  • Any activity that harms Zayup, its team, vendors, clients, or the public

Zayup may refuse or stop services that violate this section.

21. Limitation of Liability

To the maximum extent permitted by law, Zayup will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost business opportunities, or reputational harm.

To the maximum extent permitted by law, Zayup’s total liability for any claim related to the services will not exceed the amount paid by the client to Zayup for the specific service giving rise to the claim during the three months before the claim arose.

Some jurisdictions do not allow certain limitations, so some limitations may not apply.

22. Indemnification

Clients agree to defend, indemnify, and hold harmless Zayup, its owners, employees, contractors, vendors, and affiliates from claims, damages, liabilities, costs, and expenses arising from:

  • Client’s use of the services
  • Client’s violation of these Terms
  • Client-provided content or materials
  • Client’s products or services
  • Client’s failure to comply with applicable laws
  • Marketing, SMS, email, call, or outreach campaigns requested by client
  • Call recording, consent, or customer notice issues
  • Third-party claims related to client business operations

23. Third-Party Services

Zayup may use or integrate third-party platforms, software, plugins, tools, or vendors.

Zayup does not control third-party services and is not responsible for their performance, security, availability, pricing, policies, or errors.

Clients may be required to maintain their own accounts with third-party providers.

24. Changes to Services or Terms

Zayup may update services, packages, pricing, features, or these Terms from time to time.

When we update these Terms, we will revise the “Last Updated” date.

Continued use of our website or services after updates means you accept the revised Terms.

25. Governing Law

These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict of law principles.

Any dispute related to these Terms or Zayup services will be handled in the state or federal courts located in Maryland, unless another dispute process is required by a separate written agreement.
